This page sets out the terms and conditions ("Terms and Conditions") governing all sales and purchases of goods through the online shop operated by MIVANITY HK LIMITED at https://mivanity.com/ ("Website"). Your use of the Website and placement of any order constitutes your full and unconditional acceptance of these Terms and Conditions.
All references to "we", "us","MIVANITY","Mivanity", "mivanity", or "our" shall mean MIVANITY HK LIMITED. References to "Goods" shall mean products branded with the MIVANITY name.
1. Sales and Purchases – General Provisions
1.1. Subject to these Terms and Conditions, we agree to sell, and you agree to purchase, the Goods in accordance with the order you place through the Website ("Order").
1.2. We sell and deliver Goods exclusively to end-user customers. You agree and warrant that your purchase is for personal use only as an end user and not for resale, redistribution, or commercial exploitation (in whole or in part) to any third party. We reserve the right to decline or cancel any Order if we reasonably believe the purchase is not for personal end use.
1.3. The Website is not intended for use by children. If you are under eighteen (18) years of age, you must obtain verifiable consent from a parent or legal guardian before providing any personal information or making any purchase on the Website.
2. Placing Orders – Order Process and Acceptance
2.1. You may place an Order by completing the electronic order form ("Order Form") on the Website. Once an order number is assigned following your submission of the Order Form, you are deemed to have confirmed your Order. To the fullest extent permitted by applicable law, you may not cancel or modify the Order after this point.
2.2. All information displayed on the Website (including product descriptions, images, and pricing) constitutes an invitation to treat only. It is not an offer to sell Goods.
2.3. Your Order constitutes a legally binding offer to purchase the Goods. We retain sole and absolute discretion to accept or decline any Order without providing a reason. We do not guarantee the availability of any Goods shown on the Website.
(a) Upon receiving your Order, we will send an order confirmation email ("Confirmation"). This email does not signify our acceptance of your Order nor constitute an offer to sell; it merely confirms that we have received your Order.
(b) We accept your Order only when we have prepared the Goods for shipment. For in-stock items, this typically occurs within 72 working hours. We reserve the right to refuse, cancel, or limit any Order and may request additional information before processing. After receiving the Confirmation, you may contact us to track your order status.
(c) Once your Order is ready for shipment, we have accepted it, and a legally binding contract ("Contract") for the sale of Goods is formed. This Contract supersedes all prior correspondence, representations, or agreements.
2.4. You are solely responsible for ensuring the accuracy and completeness of all information provided with your Order, including the delivery address, recipient name, and contact details. We shall not be liable for any delay, failure, or additional cost resulting from incomplete or inaccurate information provided by you.
3. Payment Terms
3.1. All prices displayed on the Website are quoted in United States Dollars (USD). We reserve the right to change prices at any time and to correct any pricing errors. In the event of a pricing error, we will notify you and allow you to either proceed with the Order at the correct price or cancel the Order at no cost to you.
3.2. We may adjust prices to reflect changes in costs arising from circumstances beyond our reasonable control, including but not limited to: foreign exchange fluctuations, taxes, duties, labor costs, material costs, delivery schedules, or delayed instructions from you.
3.3. Unless otherwise specified, payment must be made in USD using one of the following methods: Visa, MasterCard, American Express, Shopify Payment, or PayPal.
3.4. Payment for Goods will be debited from your designated credit card or payment account upon issuance of the Confirmation email.
3.5. Your credit card payment will be processed by our authorized service provider ("Payment Processor"). All payment information is encrypted using industry-standard security protocols. However, no method of transmission over the Internet is 100% secure.
3.6. We shall not be liable for any loss or damage arising from:
(a) Your failure to protect your personal or payment data during the online payment process;
(b) Inaccurate, incomplete, or fraudulent information provided by you during the payment process; or
(c) Any issues related to your chosen payment method, including but not limited to insufficient funds, declined transactions, or payment processor downtime.
4. Promo Codes and Discounts
4.1. Promo codes must be entered at checkout before completing your Order. Each promo code may be used only once and cannot be applied retroactively to previously placed Orders. Percentage-based promo codes may not be combined with other discounts unless expressly stated.
4.2. Promo codes are non-transferable, non-exchangeable, and cannot be redeemed for cash, credit, or gift cards.
4.3. Certain Goods may be excluded from promo code offers. Please review the specific terms accompanying each promo code. We reserve the right to cancel or modify any Order in which a promo code has been applied to excluded or ineligible Goods.
5. Passing of Risks and Title
5.1. The risk of loss, theft, damage, or destruction of the Goods passes to you upon delivery to the shipping address you provided. We are not responsible for any damage caused by events beyond our reasonable control, including but not limited to fire, flood, accidents, or mishandling by third-party carriers after delivery.
5.2. Legal title to the Goods does not pass to you until the full purchase price of the Order (including any applicable taxes, duties, or shipping fees) has been paid in full and received by us.
6. Return, Replacement, and Cancellation of Goods
6.1. Return of Defective or Non-conforming Goods
6.1.1. Goods are deemed to be correct and of satisfactory quality unless you provide written notice of the defect (including detailed description and supporting evidence) via email or phone to our customer service within thirty (30) calendar days of delivery, and you return the Goods to us in accordance with this Clause. Any claims not made within this period shall be deemed waived, except where you can demonstrate that it was impossible to comply and you made the claim as soon as reasonably possible.
6.1.2. For valid and timely claims, we may, at our sole discretion:
(a) Replace the defective Goods free of charge, subject to Clauses 6.1.3 and 6.1.5; or
(b) Refund the amount paid for the defective Goods, subject to Clauses 6.1.4 and 6.1.5, after the Goods have been returned to us.
6.1.3. You are responsible for all costs related to returning defective Goods and for any delivery costs associated with receiving replacement Goods.
6.1.4. Refunds will be issued in a manner determined by us (e.g., original payment method, store credit, or other means).
6.1.5. Returned Goods must be in their original, unaltered condition, with all original packaging, tags, labels, and any included gifts or accessories.
6.2. No-Reason Return of Goods
6.2.1. We accept returns without providing a reason within thirty (30) calendar days of the date you receive the Goods. Requests submitted after this period shall be deemed waived, except where you can demonstrate that it was impossible to comply and you made the request as soon as reasonably possible.
6.2.2. Goods returned without a reason must be unused, unwashed, unaltered, and in original condition with all original packaging, tags, and any included gifts or accessories. We reserve the right to refuse a no-reason return or to deduct a restocking fee if the Goods show signs of use or damage.
6.3. Order Cancellation
6.3.1. Orders may be cancelled free of charge only before they have been shipped. Once an Order has been shipped, cancellation is not possible. For shipped Orders, please follow the return procedure set out in Clause 6.2.
6.4. How to Submit a Request
All requests for return, replacement, or cancellation must be submitted to our Customer Care Team via email at support@MiVanity.com or by phone during service hours.
6.5. Our Right to Decline
We reserve the right, in our sole discretion, to decline any request under this Clause 6. Our decision regarding any dispute arising from returns, replacements, or cancellations shall be final and conclusive.
7. Governing Law and Dispute Resolution
7.1. This Agreement and these Terms and Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of China, without regard to its conflict of law principles.
7.2. Any dispute, controversy, or claim arising out of or relating to this Agreement shall be submitted to arbitration at the Hong Kong International Arbitration Centre (HKIAC) or be subject to the exclusive jurisdiction of the courts of Hong Kong.
